As Enterprise Sales / Deal Desk,
I want a finalized licensing model with matching contract templates for each deployment type,
so that a deal can be signed without ad hoc legal terms being drafted per customer.

Acceptance Criteria

  • Legal Counsel has finalized which licensing model(s) MCM offers per deployment type — customer-hosted/on-prem license vs. MCM-hosted private instance subscription — and each has an approved contract template (EULA for on-prem, MSA plus Order Form for hosted).
  • Each template defines: license grant scope and restrictions (e.g., no reverse engineering, seat or usage limits), IP ownership (MCM retains IP in the platform; the customer retains ownership of their own cloud and account data), term and termination, and what happens to customer data and access on termination.
  • Deal Desk has a decision checklist for which template applies to a given deal, reviewed by Legal Counsel, so a bespoke contract isn't drafted by default for every customer.
  • Any deviation from the standard template requires Legal Counsel sign-off before it is offered to a customer.

Technical Design

This story has no platform-code component — the deliverable is the finalized template set and the Deal Desk decision checklist, maintained as controlled legal documents rather than product artifacts. The one input that determines which template applies is the deployment model recorded for a given deal (on-prem vs. hosted), which Deal Desk selects before drafting the Order Form.
